• No refunds are provided for usage-based charges already incurred
• Enterprise and Partnership agreements have separate refund terms as specified in individual contracts

• You represent that you have all necessary rights to submit User Content and that it does not violate any third-party rights

AI-Generated Output

• Output generated by our AI Services based on your inputs may be used by you for lawful purposes
• We do not claim ownership of AI-generated output created from your inputs
• You are responsible for ensuring your use of AI-generated output complies with applicable laws

10. Product Development Partnership Terms

For custom development and partnership services:

• All projects require a signed Statement of Work (SOW) or Master Services Agreement (MSA)
• Payment terms, deliverables, and timelines will be outlined in individual contracts
• Intellectual property ownership will be specified in each SOW
• Confidential information shared during partnerships is subject to mutual non-disclosure obligations
• These Terms apply in addition to any specific partnership agreement, with the partnership agreement controlling in case of conflict

• We strive for high availability but do not guarantee uninterrupted or error-free service
• We may temporarily suspend Services for maintenance, updates, or security reasons
• We may modify, update, or discontinue any Service or feature at any time
• We will provide reasonable notice of material changes when practicable

You agree to indemnify, defend, and hold harmless Zyna Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of our Services; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party rights; or (e) any dispute between you and a third party.

15. Dispute Resolution and Arbitration

Informal Resolution

Before filing any formal dispute, you agree to contact us at hello@zynalabs.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration

If informal resolution fails, any dispute arising out of or relating to these Terms or our Services shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules. The arbitration shall take place in Los Angeles County, California. The arbitrator's decision shall be final and binding.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. If this class action waiver is found unenforceable, then the arbitration agreement shall be null and void.

Exceptions

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

16. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by the laws of the State of California, without regard to its conflict of law principles. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

17. Termination

• You may terminate your account at any time by contacting us or through your account settings
• We may suspend or terminate your access at any time, with or without cause, with or without notice
• We may immediately terminate for violations of these Terms or applicable law
• Upon termination, your right to use our Services ceases immediately
• Sections that by their nature should survive termination shall survive (including Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution)

18. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You represent that you are not located in a country subject to U.S. embargo or designated as a "terrorist supporting" country, and you are not on any U.S. government list of prohibited or restricted parties.

19. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, pandemics, government actions, power failures, internet disruptions, or third-party service provider failures.

20. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Zyna Labs LLC regarding our Services.

Severability

If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
